These Master Shipper Terms & Conditions apply to quotes, credit applications, shipment tenders, bills of lading, invoices, and related transportation documents issued by Cargo Express Freight Corp. (broker) and Cargo Express Freight Transportation Inc. (motor carrier). By requesting a quote, booking a shipment, or tendering freight, you agree to these terms.
1. Parties and legal status
Cargo Express Freight Corp. (SCAC CEFC, MC 747777, USDOT 2248894) is a federally licensed property broker. Cargo Express Freight Transportation Inc. (SCAC CEFP, MC 878149, USDOT 2527771) is an authorized motor carrier. The two companies are separate legal entities. References to “Cargo Express,” “we,” or “us” do not create joint liability.
2. Acceptance
You accept these Terms by submitting a credit application, clicking agree, booking or changing a shipment, presenting freight for pickup, paying an invoice, or using Cargo Express websites or platforms. A wet-ink signature is not required.
3. Business use only
Services are for commercial and business purposes. To the maximum extent permitted by law, consumer protection laws do not apply.
4. Broker / carrier firewall
Each shipment is either brokered or carrier-performed, never both. On a brokered load, CEFC arranges transportation and cargo liability rests with the third-party carrier on the bill of lading. On a carrier load, CEFP transports under its own authority.
5. Broker services (CEFC)
CEFC does not transport freight, take custody, act as a bailee, or assume Carmack liability. Cargo claims on brokered loads must be pursued against the carrier. Charges are due net fifteen (15) days without offset. Past-due balances accrue 1.5% per month or the maximum allowed by law. Invoice disputes must be made in writing within seven (7) calendar days. Timely payment of undisputed amounts is a condition of claims assistance.
6. Carrier services (CEFP)
Unless a higher value is declared and accepted in writing before pickup, cargo liability is limited to $0.50 per pound per shipment. Shipments are shipper load and count. CEFP maintains $100,000 cargo insurance; insurance does not expand liability.
7. Accessorials, platforms, and claims
Customer pays detention, TONU, reweigh, reclass, liftgate, residential, limited access, tarping, hazmat, fuel, and similar accessorials. Platforms are provided as-is. Claim time limits include 90 days for general (non-cargo) notice, 48 hours from delivery for claims assistance requests, 180 days for overcharge/undercharge claims, and one year for non-cargo lawsuits or arbitration. No setoff, withholding, or chargebacks.
8. Other key terms
- Guaranteed service applies only if purchased; sole remedy is refund of the guarantee fee.
- Prohibited commodities (unless approved in writing) include currency, firearms, explosives, hazardous waste, cannabis/THC, live animals, human remains, temperature-controlled goods, and shipments over $100,000.
- CEFC liability is capped at brokerage fees paid. CEFP is capped by released value. No consequential, incidental, special, or punitive damages.
- Texas law governs. Exclusive venue is Dallas County, Texas or the U.S. District Court for the Northern District of Texas. Jury trial and class actions are waived.
